DBD Biz Regist System Becomes Sole Platform for Company Incorporation in Thailand

PREAMBLE:
On 12 June, 2026, Thailand’s Department of Business Development (“DBD”) has announced that the incorporations of all private limited companies are required to be registered exclusively online via DBD Biz Regist system starting 1 July 2026.
The DBD Biz Regist system will become the sole platform for registration, and traditional paper-based walk-in services will no longer be available.
KEY ASPECTS:
A. Document Signatures and Processing Time
While this digital shift is intended to streamline procedures, certain documents will still require signatures from promoters or directors. These signatures may be executed either in wet-ink or electronically through DBD e‑Service or ThaID application. For non-Thai national signatories, however, the process may take longer, making same‑day completion less feasible. Therefore, advance preparation process is essential.
B. Exception
During this transition, corporate amendments such as changes in directors, office addresses, or capital increases can still be filed in paper form, though only a limited number of submissions will be accepted each day.
CONCLUSION:
Ultimately, this move reflects Thailand’s broader push toward digital governance. By requiring incorporations to be completed online, the DBD aims to enhance efficiency and reduce reliance on manual processes. At the same time, organizations must adapt quickly to the new system, balancing compliance with practical considerations such as signature requirements and potential delays for international stakeholders.
