Biography

Tanadee has a broad range of experience, spanning labor, tax, pharmaceutical law, medical law, cannabis law and transactional law. He regularly advises clients on mergers and acquisitions, project finance, power projects, petroleum developments, and has worked on litigation in the telecommunications sector. His work on petroleum, mining, and construction contracts has given him a deep understanding of Thailand’s environmental laws. He also has expertise in taxation and has worked with clients on matters related to land taxes, customs duties, and tax planning for engineering, procurement, and construction (EPC) contracts.

    • Provide legal service and advisory on shareholders’ agreement for bidding deep-sea port project.

    • Acting for Hydro Engineering on project development and project financing for the design, development, construction, operation, and maintenance of the hydroelectric power plant in Lao PDR.
    • Acting for a financial institute on project financing, legal due diligence and project financing during construction phase of one of the largest hydroelectric power plant in Lao PDR.
    • Acting for project operator in one of Wind Farm Project in Lao PDR, a project of 1,200 MW during development phase.
    • Acting for one of the largest renewable energy companies in Thailand, on financing of renewable energy projects across the country, preparation of joint venture agreement between shareholders and acquisition of solar power plant projects in Thailand.
    • Acting for several roof-top solar projects in Thailand on financing of renewable energy projects across the country and acquisition of solar power plant projects in Thailand.
    • Acting for a 45 MW wind farm project; including advising on project development, licenses and permits, construction contracts, BOI support, operation and contract management.
    • Acting on litigation case of warranty of power generation on solar power plant project, acquiring licenses and permits related to solar power plants.
  3. Oil and Gas Projects
    • Acting for a major energy company in Thailand, on a cross-border investment in a top-tier international retail/wholesale group with business across Europe.
    • Acting for a power company on developing the electricity business in Thailand and neighboring countries.
    • Acting for JV food-grade plastics and sustainable packaging solutions company on review of documents including: a power purchase agreement with Electricity Generating Authority of Thailand; a fuel sales gas agreement; EPC contracts; and a project management agreement regarding project financing for construction of a power plant in Rayong, Thailand.
    • Acting for one company operating in the renewable energy and clean energy sector on (i) development of a gas-fired combined-cycle 116 MW power plant in Ratchaburi, Thailand, and on, (ii) negotiation of the   financing documents and security documents for the USD 528.3 million financing.
    • Acting as a consultant on a study under the Energy Regulatory Commission (ERC) Law Reform Project including regulatory reform affecting Thailand’s competitiveness in the natural gas market, as well as on eliminating monopoly in any part of the natural gas supply chain. Closed in April 2016.
    • Advising one major petroleum groups of company on the Joint Development Area (JDA) gas purchase, pipeline and project.
    • Advising on the construction of the Trans-Thailand-Malaysia Pipeline Project.
    • Advising on LNG Procurement, as a team member with an international law firm.
    • Advising on the preparation of Gas Sale and Purchase Agreements with various industrial users.
    • Advising on the amalgamation between group of companies in petroleum sector.

    • Acting as leading legal counsel for EPC Contractor which is an enterprise of foreign government on atomic energy project in Myanmar, analysis of local laws and regulations and construction agreement and supply agreements for atomic energy project.
  5. Cold Energy Project
    • Acting for leading cold energy company in Thailand for construction agreement, shareholding structure and project agreements.
    • Petrochemical and Refinery Projects
    • Acting for on petrochemical plant development including, project planning, project construction bidding and on preparation of supply contract(s) and construction contract(s).
    • Acting on development of a hydrogen peroxide plant in Thailand and litigation for environmental case in Thailand.
    • Acting on olefins project, and on a co-generation unit in the 1980’s, prior to liberalization of the power sector in Thailand.
